These Website Terms of Use govern your access to and use of the PlayTech360 Inc. website located at playtech360.com and any associated subdomains, pages, or web-based services (collectively, the "Site"). By accessing or using the Site in any way, you accept and agree to be bound by these Terms. If you do not agree, do not use the Site.

These Terms apply to all visitors, users, and others who access the Site. Program-specific agreements — such as camp registration agreements, coach early access agreements, or product terms — govern those specific relationships and control in the event of any conflict with these Terms.

1. WHO WE ARE

This Site is operated by PlayTech360 Inc., a Georgia corporation ("PlayTech360," "we," "our," or "us"). PlayTech360 develops and operates youth and adult athletic training programs, events, and services, and distributes ActionSticks™ athletic training products as an authorized licensee of the ActionSticks™ intellectual property.

Our principal place of business is at 8735 Dunwoody Place, Ste N, Atlanta, GA 30350, USA. Questions about these Terms may be directed to us at the contact information provided in Section 18.

2. ACCEPTANCE OF TERMS

By accessing, browsing, or using the Site — including viewing any page, submitting any form, creating an account, or applying to any PlayTech360 program — you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Statement, which is incorporated herein by reference.

If you are under eighteen (18) years of age, you may only use the Site with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf.

These Terms constitute a legally binding agreement between you and PlayTech360. If you do not agree to these Terms, you must immediately cease using the Site.

3. CHANGES TO THESE TERMS

PlayTech360 reserves the right to update or modify these Terms at any time without prior notice. The "Last Revised" date at the top of this page reflects the most recent update. Your continued use of the Site following any update constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically. Material changes will be noted on the Site or communicated through other reasonable means.

4. THE SITE AND ITS CONTENT

The Site provides information about PlayTech360's programs, events, services, and products; allows users to apply to participate in PlayTech360 programs; facilitates registration for PlayTech360 events and camps; and may provide access to educational, instructional, and promotional content.

The Site and all content, features, and functionality made available through it — including text, graphics, logos, images, videos, audio, data, software, and the selection and arrangement thereof ("Site Content") — are owned by PlayTech360 or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws.

ActionSticks™ is an athletic training technology distributed by PlayTech360 under license. All intellectual property rights in ActionSticks™ are owned by PlayTech360's licensor. Patent applications pending. Nothing on this Site transfers any ownership of ActionSticks™ intellectual property to any user.

5. PERMITTED USE

Subject to these Terms, PlayTech360 grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial purposes in connection with PlayTech360's programs, events, and services.

You may:

  • Browse and view Site Content for informational purposes.
  • Submit applications, registrations, and inquiries through authorized forms on the Site.
  • Create a PlayTech360 account to participate in authorized programs.
  • Share links to public pages of the Site for non-commercial purposes.

6. PROHIBITED USES

You agree not to use the Site for any of the following purposes:

  • Violating any applicable federal, state, local, or international law or regulation.
  • Scraping, crawling, indexing, or extracting any content from the Site by automated means without PlayTech360's prior written consent.
  • Attempting to gain unauthorized access to any portion of the Site, its servers, or any systems or networks connected to the Site.
  • Transmitting any unsolicited or unauthorized advertising, promotional materials, spam, or similar communications.
  • Uploading or transmitting viruses, malware, or any other malicious or technologically harmful code.
  • Impersonating PlayTech360, any PlayTech360 employee, coach, or program participant, or any other person or entity.
  • Collecting or harvesting any personally identifiable information from the Site without authorization.
  • Using the Site in any way that could damage, disable, overburden, or impair the Site or interfere with any other party's use.
  • Reproducing, distributing, displaying, selling, or creating derivative works from any Site Content without PlayTech360's prior written permission.
  • Using any Site Content or ActionSticks™-related materials to develop, market, or promote any competing product, service, or program.

PlayTech360 reserves the right to terminate or restrict your access to the Site at any time, without notice, for any violation of these Terms or for any other reason at PlayTech360's sole discretion.

7. ACCOUNTS AND REGISTRATION

Certain features of the Site, including program applications and content access, may require you to create a PlayTech360 account. By creating an account, you agree to:

  • Provide accurate, complete, and current information during registration and to keep that information updated.
  • Maintain the confidentiality of your account credentials and not share your login information with any other person.
  • Accept responsibility for all activities that occur under your account.
  • Notify PlayTech360 immediately if you become aware of any unauthorized use of your account.

PlayTech360 reserves the right to suspend or terminate any account at any time for violation of these Terms, provision of inaccurate information, or for any other reason at PlayTech360's sole discretion. You may not transfer your account to any other person or entity.

Creating an account does not guarantee participation in any PlayTech360 program, admission to any event, or receipt of any product. Program participation is governed by program-specific agreements and is subject to PlayTech360's eligibility requirements and availability.

8. PROGRAM APPLICATIONS AND REGISTRATIONS

The Site may allow you to submit applications for PlayTech360 programs or register for PlayTech360 events. The following applies to all such submissions:

  • Submission of an application or expression of interest does not constitute enrollment, acceptance, or any commitment by PlayTech360 to provide any product, service, or program access.
  • PlayTech360 reserves the right to accept or decline any application at its sole discretion based on legitimate program criteria, including capacity, eligibility, and program objectives.
  • Accepted applications and confirmed registrations are governed by the applicable program-specific agreement, which is separate from and controls over these Terms with respect to that program.
  • All information submitted through the Site must be accurate and complete. Submission of false or misleading information may result in disqualification and termination of account access.

PlayTech360 does not discriminate in program admission on the basis of race, color, religion, sex, national origin, disability, age, or any other characteristic protected by applicable law.

9. USER-SUBMITTED CONTENT

PlayTech360 may, now or in the future, offer features through the Site or through PlayTech360 applications that allow users to submit, upload, post, or otherwise provide content, including feedback, comments, testimonials, photographs, videos, and other materials ("User Content").

By submitting any User Content, you represent and warrant that:

  • You own or have the necessary rights, licenses, and permissions to submit the User Content and to grant the rights described below.
  • The User Content does not infringe any third-party intellectual property right, privacy right, publicity right, or any other right.
  • The User Content is accurate and does not contain any false, defamatory, obscene, offensive, or unlawful material.
  • The User Content does not contain any virus, malware, or other harmful code.

By submitting User Content, you grant PlayTech360 a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and create derivative works from such User Content in any media, for any lawful purpose, including marketing and promotional uses, without compensation to you.

PlayTech360 is not obligated to host, display, publish, or maintain any User Content and may remove any User Content at any time for any reason without notice. PlayTech360 does not endorse any User Content and is not responsible for any User Content submitted by users.

These provisions apply to User Content submitted through the Site, through any PlayTech360 application, or through any other PlayTech360 digital platform or service, now existing or developed in the future.

10. INTELLECTUAL PROPERTY

All Site Content — including the PlayTech360 name, logo, and all text, graphics, images, videos, and software — is the property of PlayTech360 or its licensors and is protected by applicable intellectual property law. You may not reproduce, distribute, modify, display, or create derivative works from any Site Content without PlayTech360's prior written permission.

PlayTech360™ and ActionSticks™ are trademarks. ActionSticks™ is distributed by PlayTech360 under license from its intellectual property owner. Patent applications pending. Unauthorized use of any PlayTech360 or ActionSticks™ trademark is strictly prohibited.

If you believe any content on the Site infringes your copyright, please contact us at the address in Section 18 with: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material and its location on the Site; (c) your contact information; (d) a statement of good faith belief that the use is unauthorized; and (e) a statement under penalty of perjury that the information provided is accurate and that you are the copyright owner or authorized to act on their behalf.

12. NO PURCHASE OBLIGATION; NO PRODUCT AVAILABILITY GUARANTEE

Nothing on this Site constitutes an offer to sell or a guarantee of product availability. PlayTech360 programs, events, products, and services are offered subject to availability and eligibility. Submission of any form or expression of interest on this Site does not obligate PlayTech360 to provide any product, service, or program access.

Where the Site references products, pricing, schedules, or availability, such information is subject to change without notice. PlayTech360 makes no warranty that any product, program, or event described on the Site will be available, offered, or delivered on any particular timeline.

13. DISCLAIMER OF WARRANTIES

The site and all site content are provided "as is" and "as available" without warranty of any kind. To the maximum extent permitted by applicable law, PlayTech360 expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation: warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, reliability, and uninterrupted or error-free operation.

PlayTech360 does not warrant that the site will be available at any particular time, that any errors will be corrected, or that the site or its servers are free of viruses or other harmful components. Your use of the site is at your sole risk.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, PlayTech360, its officers, directors, employees, contractors, agents, licensors, and successors shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including without limitation loss of revenue, loss of profits, loss of data, loss of goodwill, or cost of substitute services, arising out of or in connection with your use of or inability to use the site or any site content, regardless of the theory of liability and even if PlayTech360 has been advised of the possibility of such damages.

In no event shall PlayTech360's total aggregate liability to you for all claims arising out of or related to these terms or your use of the site exceed one hundred dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, PlayTech360's liability is limited to the fullest extent permitted by law.

15. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless PlayTech360 and its officers, directors, employees, contractors, agents, licensors, and successors from and against any and all claims, demands, liabilities, losses, damages, costs, expenses, and attorneys' fees arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any User Content you submit; or (e) your infringement of any third-party right.

16. RELATIONSHIP TO PROGRAM-SPECIFIC AGREEMENTS

These Terms govern your general use of the Site. Participation in any specific PlayTech360 program, event, or service — including but not limited to athletic training camps, coach early access programs, product distribution programs, and any future programs or events — is governed by the applicable program-specific agreement presented to you at the time of enrollment or participation.

In the event of any conflict between these Terms and a program-specific agreement with respect to program participation, the program-specific agreement controls. These Terms continue to govern your general use of the Site regardless of your participation in any program.

17. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved exclusively through binding arbitration administered in Athens-Clarke County, Georgia, in accordance with the then-current rules of the American Arbitration Association. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You waive any right to a jury trial and any right to participate in a class action, collective action, or representative proceeding with respect to any claim covered by this section.

Nothing in this Section prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
