BY COMPLETING REGISTRATION YOU AGREE TO BE LEGALLY BOUND.

PARTIES AND AGREEMENT OVERVIEW

This Camp Registration Agreement (this "Agreement") is entered into between PlayTech360 Inc., a Georgia corporation ("PlayTech360" or the "Company"), and the individual completing registration for participation in the PlayTech360 Ball Mastery Soccer Camp ("Participant" or "Parent/Guardian" on behalf of a minor Participant).

For purposes of this Agreement:

  • "Camp" means the PlayTech360 Ball Mastery Soccer Camp and all associated activities, sessions, demonstrations, and events.
  • "Participant" means the individual enrolled in the Camp, whether an adult or a minor on whose behalf a Parent/Guardian is acting.
  • "Parent/Guardian" means the parent or legal guardian executing this Agreement on behalf of a minor Participant.
  • "Camp Personnel" means all coaches, instructors, directors, administrators, employees, contractors, volunteers, aides, and assistants engaged by or on behalf of PlayTech360 in connection with the Camp.
  • "Released Parties" has the meaning given in Section 7 below.

If Participant is under eighteen (18) years of age, this Agreement must be accepted by Participant's parent or legal guardian. By completing registration, Parent/Guardian represents that they have full legal authority to bind the Participant and themselves to this Agreement.

1. CAMP DESCRIPTION

The Camp consists of soccer training sessions, ball mastery exercises, technical instruction, dribbling and finishing activities, small-sided games, scrimmages, evaluations, and all related activities. Camp activities are conducted by PlayTech360 and Camp Personnel at the designated Camp facility.

2. ASSUMPTION OF RISK

Participant and Parent/Guardian acknowledge and understand that participation in soccer and athletic training activities involves inherent risks that cannot be eliminated, including but not limited to:

  • Falls, trips, slips, and contact with the ground or playing surface
  • Collisions with other players, coaches, spectators, equipment, or facility structures
  • Sprains, strains, contusions, lacerations, and fractures
  • Concussions and traumatic brain injury
  • Heat-related illness, dehydration, and heat stroke
  • Cardiovascular events
  • Allergic reactions
  • Risks associated with outdoor weather conditions and facility conditions
  • Permanent disability or death

Participant and Parent/Guardian KNOWINGLY AND VOLUNTARILY ASSUME ALL RISKS — known and unknown, foreseen and unforeseen — associated with participation in Camp activities.

3. PHYSICAL FITNESS AND HEALTH REPRESENTATIONS

Participant and Parent/Guardian represent and warrant that:

  • Participant is physically and mentally capable of participating in Camp activities.
  • Participation in Camp activities will not endanger Participant, other participants, Camp Personnel, or any other person.
  • Participant has no known medical condition, injury, disability, or circumstance that would render participation unsafe, unless disclosed in writing to PlayTech360 prior to the first Camp session.

PlayTech360 is not obligated to evaluate the medical fitness of any Participant for participation in Camp activities.

4. MEDICAL CONDITIONS AND ACCOMMODATIONS

PlayTech360 does not provide medical supervision, nursing services, medication administration, or individualized medical care during Camp activities.

If Participant has a medical condition, disability, allergy, injury, medication requirement, behavioral condition, or other circumstance requiring individualized supervision or accommodation beyond that generally provided during Camp activities, Parent/Guardian must disclose such circumstances in writing to PlayTech360 prior to the start of Camp.

PlayTech360 reserves the right, in its sole discretion, to: (a) require a Parent/Guardian or responsible adult to remain on site throughout Participant's participation; (b) decline enrollment or continued participation; or (c) require reasonable additional documentation or clearance before permitting participation. In the event PlayTech360 declines to permit participation for documented health reasons disclosed prior to the start of Camp, a pro-rated refund shall be provided for any unused sessions.

5. EMERGENCY MEDICAL AUTHORIZATION

In the event of a medical emergency during Camp activities, Participant and Parent/Guardian authorize PlayTech360 and Camp Personnel to:

  • Summon emergency medical services (911).
  • Administer or authorize the administration of emergency first aid.
  • Consent to emergency medical treatment if Participant's Parent/Guardian cannot be reached promptly.

PlayTech360 shall make reasonable efforts to notify Parent/Guardian as promptly as possible in the event of a medical emergency. PlayTech360 has no obligation to provide, arrange, or pay for medical treatment. Participant and Parent/Guardian remain solely responsible for all medical costs incurred.

Parent/Guardian agrees to provide accurate emergency contact information at the time of registration and to keep such information current throughout the Camp period.

6. WEATHER AND FACILITY MODIFICATIONS

Camp activities may be affected by weather conditions, facility availability, or other circumstances beyond PlayTech360's control. PlayTech360 reserves the right to:

  • Modify, relocate, delay, or cancel any Camp session due to weather, facility conditions, or safety concerns.
  • Move activities indoors or to an alternative location.
  • Cancel individual sessions without refund where the majority of scheduled sessions are completed.

In the event PlayTech360 cancels the Camp in its entirety prior to the first session for reasons within PlayTech360's control, a full refund of registration fees paid shall be provided. Cancellations of individual sessions due to weather or facility conditions do not entitle Participant to a refund unless PlayTech360, in its sole discretion, provides a credit or make-up session.

Emergency alerts and weather cancellations will be communicated by text message and email to the contact information provided at registration.

7. RELEASE AND WAIVER OF LIABILITY

To the maximum extent permitted by applicable law, Participant and Parent/Guardian, on behalf of themselves and Participant's heirs, executors, administrators, personal representatives, successors, and assigns, hereby release, waive, discharge, and covenant not to sue the following parties (collectively, "Released Parties"):

  • PlayTech360 Inc., a Georgia corporation, its current and former officers, directors, shareholders, and employees;
  • All Camp Personnel, including coaches, instructors, contractors, volunteers, aides, and assistants;
  • The owners and operators of any facility used in connection with Camp activities;
  • Sponsors, promotional partners, and authorized vendors associated with the Camp;
  • Successors and assigns of any of the foregoing;
  • Any future entity to which PlayTech360 assigns its rights or obligations under this Agreement.

From any and all claims, demands, causes of action, liabilities, damages, losses, costs, and expenses of any kind, without limitation, including attorneys' fees — arising out of or relating to:

  • Participation in or attendance at Camp activities;
  • Actions or omissions of Camp Personnel;
  • Conditions at Camp facilities;
  • Travel to or from Camp activities;
  • Any Camp-related communication, content, or instruction.

This release applies to claims arising from the negligence of the Released Parties, except that nothing herein shall release any Released Party from liability for gross negligence or intentional misconduct to the extent such release is prohibited by applicable law.

8. INDEMNIFICATION

Participant and Parent/Guardian agree to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, demands, causes of action, liabilities, damages, losses, costs, expenses, and attorneys' fees arising out of or related to:

  • Participant's violation of Camp rules, safety instructions, or the terms of this Agreement;
  • Participant's misconduct, unsafe behavior, or intentional acts;
  • Participant's misuse of any equipment or facility property;
  • Inaccurate, false, or incomplete information provided to PlayTech360 at or prior to registration;
  • Parent/Guardian's failure to disclose known medical conditions or relevant circumstances;
  • Claims brought by third parties arising from Participant's actions during Camp.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, the total aggregate liability of the Released Parties arising out of or relating to this Agreement or Camp activities shall not exceed the greater of: (a) the registration fees actually paid by Participant for the applicable Camp session; or (b) one hundred dollars ($100.00).

In no event shall any Released Party be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, regardless of the form of action and whether or not such party has been advised of the possibility of such damages.

10. PARTICIPANT CONDUCT

Participant agrees to:

  • Follow all instructions from Camp Personnel promptly and respectfully.
  • Conduct themselves in a safe, positive, and respectful manner toward all participants, coaches, and attendees.
  • Use all equipment and facility property only as directed and only for authorized purposes.
  • Refrain from any unsafe, abusive, threatening, harassing, or dangerous conduct.
  • Respect the Camp facility and all property therein.

PlayTech360 reserves the right to remove any Participant from the Camp whose conduct is, in PlayTech360's sole judgment, unsafe, disruptive, abusive, threatening, or inconsistent with Camp objectives. Removal for conduct violations may occur without refund.

11. EQUIPMENT AND PERSONAL PROPERTY

Participant is responsible for arriving at each Camp session with appropriate attire and equipment as specified by PlayTech360, including but not limited to properly fitted shin guards and a size 4 soccer ball (unless otherwise specified). Footwear must be appropriate for the playing surface.

PlayTech360 is not responsible for the loss, theft, or damage to any personal property brought to Camp by Participant or Parent/Guardian.

12. REFUND POLICY

The following refund terms apply to Camp registration fees:

  • Full refund: Cancellation requests received at least five (5) calendar days prior to the first scheduled Camp session.
  • No refund: Cancellation requests received fewer than five (5) calendar days prior to the first scheduled Camp session, or submitted after the first session begins.
  • PlayTech360 cancellation: If PlayTech360 cancels the Camp in its entirety prior to the first session for reasons within PlayTech360's control, a full refund of all registration fees paid shall be provided.
  • Conduct removal: No refund shall be provided where Participant is removed for violation of Section 10 (Participant Conduct).

Force Majeure

In the event the Camp is cancelled, postponed, or curtailed — in whole or in part — due to circumstances beyond PlayTech360's reasonable control, including without limitation acts of God, severe weather, natural disaster, pandemic or public health emergency, governmental order or regulation, war, civil unrest, terrorism, facility closure, utility failure, or other event that renders performance impossible or inadvisable ("Force Majeure Event"), PlayTech360's liability to Participant shall be limited to the following, at PlayTech360's sole discretion:

  • A prorated refund of registration fees paid, calculated based on the number of sessions not completed, less each Participant's proportionate share of any non-refundable facility rental fees or other non-recoverable costs incurred by PlayTech360 in connection with the Camp; or
  • A credit of equivalent value toward a future PlayTech360 camp or program, with no expiration of less than twelve (12) months from the date of issuance.

PlayTech360 shall provide prompt written notice to registered families in the event of a Force Majeure cancellation or curtailment and shall communicate the elected remedy within a reasonable time thereafter. PlayTech360 is not obligated to issue cash refunds in Force Majeure circumstances where the credit option is elected.

PlayTech360 may, in its sole discretion, provide credits, transfers, or exceptions to this policy on a case-by-case basis. Any such exception does not establish a precedent or obligation to provide similar treatment in future circumstances.

13. MEDIA RELEASE

Participant and Parent/Guardian grant PlayTech360, Camp Personnel, and their authorized representatives the irrevocable, worldwide, royalty-free right to photograph, record, film, livestream, capture, edit, reproduce, publish, display, distribute, and otherwise use Participant's image, likeness, voice, name, and athletic performance in connection with Camp activities.

Such materials may be used for any lawful purpose, including without limitation:

  • Advertising and marketing materials for PlayTech360 and its programs;
  • Social media content across all platforms;
  • Websites, applications, and digital publications;
  • Instructional and training-related videos and content;
  • Public relations and investor materials.

Participant and Parent/Guardian waive any right to inspect or approve final materials, and acknowledge that no compensation shall be payable for any such use. This grant extends to PlayTech360's successors and assigns.

14. PRIVACY NOTICE

PlayTech360 collects the following categories of information in connection with Camp registration and operations:

  • Parent/Guardian and Participant names, addresses, email addresses, and telephone numbers
  • Participant date of birth and age group
  • Emergency contact information
  • Health and medical disclosure information (where provided)
  • Payment and registration information
  • Photographs, video recordings, and audio recordings
  • Communications and correspondence related to Camp participation

PlayTech360 uses this information to:

  • Operate and administer the Camp
  • Communicate with Participants and Parents/Guardians regarding Camp matters
  • Provide emergency communications and safety alerts
  • Develop and improve PlayTech360 products, services, and future camps
  • Conduct marketing and promotional activities consistent with the media release grant above
  • Comply with applicable legal obligations

PlayTech360 may share information with Camp Personnel, facility operators, payment processors, technology service providers, emergency responders, and governmental authorities when required by law. PlayTech360 does not sell personal information for monetary compensation. For questions about data practices, contact PlayTech360 at admin@playtech360.com.

15. PARENT/GUARDIAN RESPONSIBILITIES

Parent/Guardian agrees to:

  • Ensure Participant arrives on time and prepared for each Camp session.
  • Provide accurate and complete registration, medical, and emergency contact information.
  • Update PlayTech360 promptly if any material information changes during the Camp period.
  • Be reachable by telephone during Camp hours.
  • Arrange timely pickup of Participant at the conclusion of each session.
  • Review and discuss this Agreement and Camp rules with Participant prior to the first session.
  • Supervise and remain responsible for any sibling or other minor accompanying Participant who is not enrolled in the Camp.

16. CAMP SPONSORSHIP

This Camp is sponsored in part by ActionSticks™.

17. EMERGENCY PROCEDURES

In the event of an emergency during Camp activities, Camp Personnel are directed to:

  • Contact emergency services (911) immediately for any life-threatening situation.
  • Administer basic first aid consistent with their training and certification.
  • Contact Parent/Guardian using the emergency contact information on file.
  • Document the incident and cooperate with emergency responders.

PlayTech360 will designate a Camp Director for each session who serves as the primary point of contact in the event of an emergency. The Camp Director's contact information will be provided to Parent/Guardian prior to the first Camp session.

18. ARBITRATION, GOVERNING LAW, AND DISPUTE RESOLUTION

This Agreement is governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to this Agreement, Camp activities, or the relationship between the parties shall be resolved exclusively through binding arbitration administered in Athens-Clarke County, Georgia, in accordance with the then-current rules of the American Arbitration Association. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Participant and Parent/Guardian waive any right to a jury trial and any right to participate in a class action, collective action, or representative proceeding with respect to any claim covered by this section.

Nothing in this Section shall prevent either party from seeking emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

19. SEVERABILITY AND SURVIVAL

If any provision of this Agreement is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed from this Agreement, without affecting the validity or enforceability of the remaining provisions.

The provisions of Sections 7 (Release and Waiver of Liability), 8 (Indemnification), 9 (Limitation of Liability), 13 (Media Release), 14 (Privacy Notice), 18 (Arbitration), and this Section 19 shall survive termination or expiration of this Agreement.

20. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to Camp participation and supersedes all prior and contemporaneous discussions, representations, understandings, and agreements relating to the subject matter hereof.

PlayTech360 reserves the right to update or modify this Agreement at any time. The version in effect at the time of registration shall govern the applicable Camp enrollment. Material updates will be communicated to registered Participants via email.

21. ACKNOWLEDGMENT AND ELECTRONIC AGREEMENT

By completing online registration and checking the agreement boxes, Participant and Parent/Guardian acknowledge that: (1) they have read this Agreement in its entirety; (2) they understand its terms and their legal significance; (3) they have had the opportunity to consult with legal counsel; and (4) they voluntarily agree to be bound by all terms hereof. If Participant is a minor, Parent/Guardian further acknowledges that they have full legal authority to execute this Agreement on behalf of the minor Participant and Participant's family.

Electronic acceptance constitutes a legally binding signature under the Georgia Electronic Records and Signatures Act (O.C.G.A. § 10-12-1 et seq.) and the federal Electronic Signatures in Global and National Commerce Act (E-SIGN).
